ARTICLE II PURPOSE
This corporation is organized exclusively for charitable purposes within the meaning of the Caribbean law, as now enacted or hereafter amended, including, for such purposes, the making of distributions to organizations. To this end, the corporation shall use ongoing raffles to provide funding for the Planet Ocean Underwater Hotels, LLC International Sea Station. To provide funding for a Pyrolysis Plant for converting plastic trash into biofuel. To provide funding for coral reef restoration.
The received donation funds, whether income or principal, and whether acquired by gift or contribution or otherwise, shall be devoted to said purposes.
TEN PERCENT will be applied for the RALLYUP.COM Platform and for credit card processing.
PRIZE FUND will be maintained in a commercial bank of the Caribbean, a fund to be known as the Planet Ocean Underwater Hotels Caribbean Fund Corp. The Prize Fund shall at all times comprise of an amount equal to the total value of tickets sold and not redeemed at the prescribed win percentage as determined under regulation.
ARTICLE III LIMITATIONS
At all times the following shall operate as conditions restricting the operations and activities of the corporation: 1. No part of the net earnings of the corporation shall inure to any member of the corporation not qualifying as exempt under Caribbean Law, as now enacted or hereafter amended, nor to any Director or officer of the corporation, nor to any other private persons, excepting solely such reasonable compensation that the corporation shall pay for services actually rendered to the corporation, or allowed by the corporation as a reasonable allowance for authorized expenditures incurred on behalf of the corporation; 2. The corporation shall not lend any of its assets to any officer or director of this corporation, or guarantee to any person the payment of a loan by an officer or director of this corporation.
ARTICLE IV DIRECTORS/MEMBERS
The corporation shall have no voting members. The management and affairs of the corporation shall be at all times under the direction of a Board of Directors, whose operations in governing the corporation shall be defined by statute and by the corporation’s by-laws. No Director shall have any right, title, or interest in or to any property of the corporation, may have voting members, and such membership, if any, and classes thereof, shall be as defined in the corporation’s bylaws. OFFICIAL RULES
Planet Ocean Underwater Hotels Caribbean Fund CORP announces the charitable raffles, The Caribbean Adventure.
NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.
ELIGIBILITY: The Charitable Raffle is open to legal residents who are age 18 or older at the time of entry. The Charitable Raffle is being conducted under jurisdiction of bank receiving Law and all applicants should recognize that this Charitable Raffle may be void or prohibited by Entrant’s state or territory. The Charitable Raffle is void wherever prohibited by law. Planet Ocean Underwater Hotels Caribbean Fund CORP. (the “Sponsor”), advertising agencies, including any Entrants who provide services in connection with this Charitable Raffle are void of entry.
HOW TO ENTER: There is no purchase or contribution necessary to participate in the Charitable Raffle.
Provide all required information on the online form to make your donation including all required contact information and submit the form as instructed. Entrants submitting Online Donations will be emailed a confirmation associated with his/her entry.
PRIZE: Although subsequent attempts to enter may be received, only one entry received from Entrant utilizing will be eligible; subsequent attempts by the same person to enter, including Entries submitted with an alternate email address, will be disqualified. Entrants are subject to all notices posted online including but not limited to the Sponsor’s Privacy Policy. Winner will be responsible for all applicable taxes associated with collecting the Grand Prize. All other costs not specifically stated herein are the responsibility of the winner. Winner must respond to winning the Grand Prize within 30 days of written notification from Sponsor. The total prize is valued: $10,000 USD. The Commercial Bank in the jurisdiction will hold the $10,000 Prize in a Depository Account. The winner’s funds will be released to Planet Ocean Underwater Hotels Caribbean when the Winner desires to make reservations for the Prize.
Two refundable First Class Roundtrip Airline will be advanced purchased. The amount of airfare will not exceed $10,000.00.
PRIZE CONDITIONS: Prizes are not cash redeemable. Prize is not assignable nor transferable. No cash in lieu of prizes except at the sole discretion of the Sponsor. Any other incidental expenses on prize not specified herein are the winner’s sole responsibility. Winner is responsible for all federal, state, local and income taxes associated with winning the prize. Except where prohibited by law, entry and acceptance of prize constitute permission to use Winner’s name, prize won, hometown, likeness, video, photographs, and statements for purposes of advertising, promotion and publicity in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.
GENERAL: Sponsor reserve the right to eliminate entries which do not comply with the Entry requirements set forth above. Participating Entrants agree to these Official Rules and the decisions of the Sponsor and the Charitable Raffle Administrator, and release the Sponsor, and their affiliated companies, and all other businesses involved in this Charitable Raffle, as well as the employees, officers, directors and agents of each, from all claims and liability relating to their participation in the promotion, and the prize offered.
Authorized Account Holder means the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. The Released Parties are not responsible for: error, omission, interruption, deletion, defect, delay in operations or transmission, or for technical, network, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission or any injury related to or resulting from participating in the Charitable Raffle. By participating in the Charitable Raffle, you agree to be bound by these Official Rules, including all eligibility requirements, and agree to be bound by the decisions of Sponsor and the Charitable Raffle Administrator, which are final and binding in all matters relating to the Charitable Raffle. Failure to comply with these official Rules may result in disqualification from the Charitable Raffle. Sponsor’s Raffle Platform will select a random drawing from among all eligible Entries received at the time of the Charitable Raffle termination or when Sponsor declares for an earlier drawing to declare a winner.
NOTIFICATION, PUBLICITY, AND MARKETING: Upon receipt of notification, Winner authorizes the use of his/her name, image and likeness, on the Sponsor’s website, advertisements and all media forms to promote the success of the Charitable Raffle and future raffles by Planet Ocean Underwater Hotels Caribbean Fund CORP.
NO LIABILITY AND INDEMNIFICATION: The Parties further agree that the jurisdiction of the receiving bank law will govern the conduct of the Binding Arbitration and that the prevailing party in such Binding Arbitration shall be awarded reasonable attorney fees and costs. It is further understood that Entrant hereby knowingly and expressly waives all rights to seek punitive, incidental, consequential, special damages, lost profits and/or other damages other than actual out-of-pocket expenses.
